This Beta Use Agreement (“Agreement”) is entered into by and between GovCIO Commercial (“Provider”) and the organization accepting this Agreement (“User Organization”) for the use of the Provider’s mobile application (“Software”) for evaluation purposes.
The Software is provided to the User Organization solely for evaluation and feedback purposes. It is not intended for operational or commercial use unless and until a separate agreement is executed for full use.
Provider grants the User Organization a non-exclusive, non-transferable, royalty-free license to use the Software for an unlimited duration during the beta period, subject to the terms of this Agreement.
This Agreement may be terminated at any time by either party, with or without cause, by providing written notice to the other party. Upon termination, the User Organization shall cease all use of the Software and delete any copies in its possession.
In exchange for access to the Software, the User Organization agrees to:
- Provide feedback on performance, usability, and reliability.
- Suggest improvements or additional features.
- Share benefits and outcomes of using the Software with peer organizations, where appropriate.
The Provider will handle any data collected through the Software in accordance with applicable data protection laws and regulations. The User Organization acknowledges and agrees that:
- No personally identifiable information (PII) or sensitive data should be entered into the Software unless explicitly authorized.
- Any data collected during the beta period will be used solely for the purposes of improving the Software and evaluating its performance.
- The Provider will implement reasonable administrative, technical, and physical safeguards to protect the confidentiality and integrity of any data collected.
- The User Organization is responsible for informing its users of any data collection practices and obtaining necessary consents, if applicable.
The Software remains the exclusive property of the Provider. The User Organization shall not copy, modify, reverse engineer, or distribute the Software. All feedback provided may be used by the Provider to improve the Software without obligation to the User Organization.
The Software is provided “as is” without warranty of any kind. The Provider disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, the Provider shall not be liable for any damages arising out of or related to the use or inability to use the Software, including but not limited to loss of data, business interruption, or indirect damages.
